Our services are provided on a project basis, subscription basis, or as otherwise agreed upon in writing between you and Dove Wave. These Terms of Service apply to all services we provide unless otherwise specified in a separate written agreement.

User Obligations

By using our website and services, you represent and warrant that you have the legal capacity and authority to enter into these Terms of Service. If payment is not received by the due date, we reserve the right to suspend or terminate your access to our services. Late payments may be subject to interest charges at the rate specified in your service agreement or the maximum rate permitted by law, whichever is lower. You agree to provide current, complete, and accurate billing and payment information and to promptly update all information to keep your account current.

Confidentiality

In the course of providing our services, both parties may have access to confidential information belonging to the other party. Confidential information includes, but is not limited to, business plans, technical data, customer lists, financial information, and any other information that is marked as confidential or would reasonably be considered confidential. Each party agrees to maintain the confidentiality of the other party's confidential information and to use such information only for the purposes of performing under these Terms of Service. Neither party shall disclose confidential information to any third party without the prior written consent of the other party, except as required by law or court order. The obligations of confidentiality shall survive the termination of these Terms of Service for a period of five years.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Dove Wave or its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use our services, any conduct or content of any third party on our services, or any unauthorized access, use, or alteration of your transmissions or content. In no event shall our aggregate liability for all claims relating to our services exceed the amount you paid to us in the twelve months preceding the claim or one thousand US dollars, whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Dove Wave and its subsidiaries, affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms of Service or your use of our services, including but not limited to your user content, any use of our services other than as expressly authorized in these Terms of Service, or your use of any information obtained from our services.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service. Upon termination, your right to use our services will immediately cease. If you wish to terminate your account, you may simply discontinue using our services and notify us in writing. All provisions of these Terms of Service which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Termination of your access to our services will not relieve you of any obligations to pay fees or charges accrued prior to termination.

Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms of Service or our services shall be resolved through good faith negotiations between the parties. If the parties are unable to resolve the dispute through negotiation within thirty days, either party may submit the dispute to binding arbitration in accordance with the arbitration rules of the China International Economic and Trade Arbitration Commission. The arbitration shall be conducted in Chinese language in Hainan Province, China. The arbitration award shall be final and binding on both parties. Notwithstanding the foregoing, we retain the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights.

General Provisions

These Terms of Service constitute the entire agreement between you and Dove Wave regarding the use of our website and services and supersede all prior agreements and understandings, whether written or oral. Our failure to enforce any right or provision of these Terms of Service will not be considered a waiver of those rights. If any provision of these Terms of Service is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect. You may not assign or transfer these Terms of Service or your rights hereunder, in whole or in part, without our prior written consent. We may assign our rights and obligations under these Terms of Service without restriction. These Terms of Service do not create any agency, partnership, joint venture, employment, or franchisee relationship between you and Dove Wave.
